About Todd A. Duplanty

Mr. Duplanty specializes in representing all types of business entities, from small local businesses to national companies. He serves as outside corporate counsel to many of his clients in a variety of industries, including Internet, technology, financial services, manufacturing, consulting, medical, equestrian, and real estate. His approach is to examine each issue on a global level, taking into account the legal implications as well business and financial considerations. In this role, he advises his clients on all manner of daily business operations. He regularly advises clients on entity formation, raising capital, employment matters, corporate governance, and company expansion and contraction. Mr. Duplanty brings extensive experience negotiating commercial transactions on behalf of clients. He has represented clients in regards to a wide array of transactions, including shareholder agreements, licensing of intellectual property, buy-sell agreements, distribution agreements, and service agreements. As part of his transactional practice, Mr. Duplanty brings a wealth of experience in real estate transactions. He has worked with clients with regard to commercial and residential leases, non-judicial foreclosures, the Minor Subdivision Act, easements, real estate purchase agreements, and carry-back financing. Mr. Duplanty has not only represented clients in negotiating commercial transactions, but has also litigated and resolved numerous commercial and real estate disputes. He has successfully litigated breach of contract actions, landlord-tenant disputes, complex commercial litigation matters, and disputes between owners of companies. This experience provides him unique insight into issues his clients face when forming companies and negotiating transactions. Prior to joining Selman Breitman, Mr. Duplanty worked for an emerging technology company in a business development role. In this capacity, he worked with the company's legal department in defining parameters for licensing agreements, end user contracts, and reseller agreements. He also worked with a technology incubator, assisting start-up companies with identifying potential product markets and preparing business plans. Mr. Duplanty received his Juris Doctor degree and Master of Business Administration from the University of Colorado, Boulder, with a specialization in small business management and entrepreneurship. He serves as pro bono counsel to local non-profits, serving on their Board of Directors. Representative Matters Business & Corporate • Advised client on the formation of limited liability company, including the purchase of assets necessary to initiate business operations. • Assisted client in revising standard commercial contracts to comply with recent legislation, including development of sales contract, vendor contract, and a reseller agreement. • Negotiated for the successful purchase of commercial property, including renegotiation of lease terms with current tenant. • Assisted a start-up company in the pursuit of bridge financing with potential investors, including preparation of financing documents. • Negotiated and drafted contract documents for the construction of a LEED-certified dentistry office, including renegotiation of commercial lease terms. • Represented clients in the formation of limited liability companies and corporations, including the purchase of assets necessary to initiate business operations. • Represented medical device company in negotiation of distribution agreements and corporate structure. • Represented clients in relation to shareholder agreements, corporate governance, and preparation of corporate documentation. • Represented founder of apparel company in shareholder buy-out, obtaining 20% increase in initial purchase price. • Represented client in negotiation of transaction with professional sports league. • Represented client in development of standard commercial contracts to comply with recent legislation, including sales contract, vendor contract, and reseller agreement. • Represented wealth management company in acquisition of numerous commercial properties throughout California, including negotiation of financing terms, commercial leases and resolution of foreclosure issues. • Represented start-up company in the pursuit of bridge financing with potential investors. • Represented client in regards to the construction of a LEED-certified medical office, including renegotiation of commercial lease terms. • Represented construction contractors in regards to preparation of standard contracts in compliance with Contractors State Licensing Board. • Represented client in regards to purchase and sale of commercial properties in multiple states. • Represented land developer in regards to strategy for development of commercial property. Litigation • Resolved dispute with local utility district regarding indemnification of environmental claim. • Obtained settlement of indemnification claim, saving client hundreds of thousands of dollars. • Successfully obtained payment of monies owed to client under breach-of-contract action. • Successfully defended wage claims asserted by former consultants of client through assertion of independent contractor defense, while obtaining resolution of breach of contractual non-compete provisions asserted by client against consultants. • Represented client in settlement of breach of contract claims asserted by educational institution in relation to technology services agreement, preserving relationship between the parties. • Resolved dispute with local utility district regarding indemnification of environmental claims. • Obtained settlement of contractual indemnification claim, saving client hundreds of thousands of dollars. • Successfully obtained payment of monies owed to client under breach-of-contract action.
