Mitchell Raab

With broad experience across markets, geographies and industries, Mitchell Raab structures and negotiates industry-leading financial transactions and strategic M&As, and advises on business activities, agreements, and investments. He chairs Olshan’s Corporate/Securities Law Practice Group. Serving clients involved in diverse industries, Mitch brings broad experience and strong commercial sensibility to his practice. He provides comprehensive strategic counsel, helping clients evaluate, structure, negotiate and execute equity and debt financings, public and private mergers and acquisitions, joint ventures, special situations, and restructurings, distressed or otherwise, with many clients also relying on him as outside general counsel. In addition, working collaboratively with Olshan’s Litigation and Tax teams, Mitch helps clients enforce rights and navigate and resolve disputes, including with respect to business separation and partner disagreements. Mitch’s practice also includes advising regarding securities laws and value accretive engagement between companies and shareholders, including planning and executing proxy contests. Clients span public and private companies, market-leading investment funds, large family offices, significant multigenerational family businesses, and globally recognized nonprofit institutions and foundations. Over the course of his years of practice, Mitch has developed exceptional experience in transactions involving academic research institutions. Clients regard Mitch as practical, creative, and strategic. They appreciate his ability to listen carefully and to find solutions to advance objectives. They also benefit from the fact that Mitch formerly worked as an investment professional and legal adviser at an active, market-leading multibillion-dollar investment fund. In that role, he gained a client-side perspective and vast experience in evaluating and executing investment strategies, considering market dynamics. He brings that experience to bear in advising clients on opportunities, risks, and solutions. Before joining Olshan, he was an attorney at Cleary, Gottlieb, Steen and Hamilton, and Richards, Spears, Kibbe and Orbe. He also was a law clerk for the Honorable Naomi Reice Buchwald of the U.S. District Court for the Southern District of New York.
