Beth W. Sims

Beth Sims focuses her practice on counseling public and private companies on a variety of corporate and securities issues, including corporate governance, public company disclosure, and Section 16 reporting. Beth has extensive experience in assisting financial institutions with securities offerings, mergers, corporate governance, and public reporting. She regularly represents financial institutions before regulators, and she provides ongoing advice and assistance with regulatory compliance matters. In addition, Beth regularly represents non-profit organizations with formation and corporate issues. Prior to law school, Beth was the Access to Justice Coordinator for the Tennessee Bar Association, and she has extensive experience working with Tennessee's non-profit community. She frequently speaks to community groups on legal issues for nonprofit organizations, and she advises non-profit leadership on a range of corporate governance issues. She also counsels for-profit companies on charitable giving matters. Beth's recent transactions and experience include the following: -Representing multiple public financial institutions in going private transactions. -Assisting numerous financial institutions with private stock offerings. -Serving as corporate and securities counsel for public reporting companies, including banks and bank holding companies. -Assisting a private bank holding company to successfully defend against a hostile takeover bid. -Advising publicly-traded and reporting companies on corporate governance and compliance issues. -Assisting more than a dozen nonprofit organizations to achieve tax-exempt status. -Counseling for-profit and non-profit organizations on compliance with charitable regulations
